Our Hotel and Resort Practice focuses on buying and selling Hawaiʻi hotels, negotiating investor agreements, ground leases, commercial leases, development agreements, joint venture agreements, management and operating agreements, and advising our clients on the business and real estate issues that typically occur in hotel and resort development. Our firm has also provided critical counsel to close on some of Hawaiʻi’s largest and most complicated hotel and resort transactions. Since 2005 alone, we have acted as lead or local counsel in over $7 Billion in real estate and corporate financings.

 

Among our recent notable achievements:

 

  • Lease counsel for partnership of mainland and local companies on the largest single-project construction loan in Hawaiʻi history (2015);

  • Lead counsel on the complex, “first-of-its-kind” CMBS debt restructure of the Makena Beach and Golf Resort on Maui following the 2008 financial crisis that preserved asset value, maintained employment, and enabled the property to be developed as a Discovery Land Company resort;

  • Lead counsel and executive manager on the financing and partner buyout of The Kahala Mandarin Oriental (for borrower), a transaction complicated due to the ultimate beneficial shareholder’s Japanese bankruptcy. This work led to the publication of one of the first appellate decisions applying Chapter 15 of the US Bankruptcy Code which decision affirmed our analysis and application of complex transnational bankruptcy law;

  • Lead counsel (for ground lessee) in the negotiation and documentation of a 90+ year ground lease under a major Waikīkī beachfront hotel;

  • Lease counsel (for various ground lessees) in the negotiation of new ground leases for significant, off-beach Waikīkī hotels;

  • Lead counsel (for ground lessees) in the negotiation of ground lease, access agreements, and resolution of joint development agreement for two Waikīkī beachfront hotels;

  • Lead counsel (for borrower) in the workout and debt restructure of the Maui Westin Resort; and

  • Lead counsel in the acquisition or sale of numerous hotels and resort properties, including the Four Seasons Resort at Historic Kaʻūpūlehu, The Kona Village Resort, The Kahala Resort, the Makena Beach and Golf Resort, Maui Westin Resort, multiple hotels in Waikīkī and elsewhere
